Contractor is an independent contractor and not an employee, partner, or co-venturer with Client. Contractor shall have the sole right to control and direct the means, manner, and method by which the Services required by this Agreement will be performed. Contractor shall be responsible for the payment of all federal, state, and local taxes related to the compensation earned under this Agreement.
Contractor agrees not to disclose, reveal, or make use of any information related to Client's business or the terms of this Agreement during or after the term of this Agreement, without the prior written consent of Client.
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
This Agreement may be terminated by either party upon written notice to the other party if there is a breach of any provision of this Agreement.
If any term or provision of this Agreement is found to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions will not in any way be affected or impaired thereby.
